CODE OF VIRGINIA

CHAIRMAN; QUORUM (§ 10.1-504)

The Board shall designate its chairman and may, from time to time, change such
designation. Five members of the Board shall constitute a quorum, and the
concurrence of a majority of those present and voting shall be required for all
determinations.
