CODE OF VIRGINIA

VOTING AGREEMENTS (§ 13.1-852.2)

A. Two or more members entitled to vote may provide for the manner in which they
will vote by signing an agreement for that purpose.

B. A voting agreement created under this section is specifically enforceable.
