Such term shall include (i) the purchase or lease of furniture, fixtures, business personal property, machinery, and tools, including under an operating lease, and (ii) expected building construction and up-fit by or on behalf of a qualified company.\n\n\t\t\t&#8220;Eligible locality&#8221; means Pittsylvania County.\n\n\t\t\t&#8220;Facility&#8221; means the building, group of buildings, or corporate campus, including any related machinery and tools, furniture, fixtures, and business personal property, that is located at or near a qualified company&#8217;s operations in an eligible locality and is owned, leased, licensed, occupied, or otherwise operated by a qualified company.\n\n\t\t\t&#8220;Fund&#8221; means the Lithium-Ion Battery Separator Manufacturing Grant Fund.\n\n\t\t\t&#8220;Grants&#8221; means the grant payments from the Fund that are awarded to a qualified company in an aggregate amount not to exceed $60,597,000. The proceeds of any grants may be used by the qualified company for costs of construction and development of the facility, or any other lawful purpose.\n\n\t\t\t&#8220;Memorandum of understanding&#8221; means a performance agreement or related document to be entered into by a qualified company, the Commonwealth, and VEDP that sets forth the requirements for capital investment and the creation of new full-time jobs by a qualified company to be eligible for grants from the Fund.\n\n\t\t\t&#8220;New full-time job&#8221; means a job position for an employee of a qualified company (i) that is principally located at a facility; (ii) for which the average annual wage is at least $45,896, subject to an escalation factor for each year as set forth in the memorandum of understanding; (iii) for which the qualified company provides standard fringe benefits; and (iv) that requires a minimum of either (a) 35 hours of an employee&#8217;s time per week for the entire normal year of the qualified company&#8217;s operations, which &#8220;normal year&#8221; shall consist of at least 48 weeks, or (b) 1,680 hours per year. Seasonal or temporary positions and positions with construction contractors, vendors, suppliers, and similar multiplier or spin-off jobs shall not qualify as new full-time jobs. The Commonwealth may assess compliance with the new full-time job requirements for a qualified company by reference to the new payroll generated by a qualified company if provided for in the memorandum of understanding.\n\n\t\t\t&#8220;Qualified company&#8221; means a company, including its affiliates, that engages in the manufacture of lithium-ion battery separators and that on and after July 1, 2024, but before July 1, 2045, is expected to (i) make a capital investment of at least $1.3506 billion and (ii) create and maintain at least 2,015 new full-time jobs.\n\n\t\t\t&#8220;Secretary&#8221; means the Secretary of Commerce and Trade or his designee.\n\n\t\t\t&#8220;VEDP&#8221; means the Virginia Economic Development Partnership Authority.\n\nB\n\nThere is hereby created in the state treasury a special nonreverting fund to be known as the Lithium-Ion Battery Separator Manufacturing Grant Fund. The Fund shall be established on the books of the Comptroller. All funds appropriated to the Fund shall be paid into the state treasury and credited to the Fund. Interest earned on moneys in the Fund shall remain in the Fund and be credited to it. Any moneys remaining in the Fund, including interest thereon, at the end of each fiscal year shall not revert to the general fund but shall remain in the Fund. Moneys in the Fund shall be used to pay grants pursuant to this chapter. Expenditures and disbursements from the Fund shall be made by the State Treasurer on warrants issued by the Comptroller pursuant to subsection F.\n\nC\n\nA qualified company shall be eligible to receive grants each fiscal year expected to begin with the Commonwealth&#8217;s fiscal year starting on July 1, 2026, and ending with the Commonwealth&#8217;s fiscal year starting on July 1, 2045, unless such timeframe is extended in accordance with a memorandum of understanding. Grants awarded pursuant to this section shall be subject to appropriation by the General Assembly during each such fiscal year and are contingent on a qualified company meeting the requirements set forth in this chapter and in the memorandum of understanding for the number of new full-time jobs created and maintained and the amount of capital investment made.\n\nD\n\nThe aggregate amount of grants payable under this section shall not exceed $60,597,000. Grants are anticipated to be paid in 20 annual fiscal year installments, calculated in accordance with a memorandum of understanding, as follows:\n\n1\n\n$691,545, for the Commonwealth&#8217;s fiscal year beginning July 1, 2026;\n\n2\n\n$1,558,800, less the total amount of grants previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2027;\n\n3\n\n$3,423,813, less the total amount of grants previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2028;\n\n4\n\n$4,553,857, less the total amount of grants previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2029;\n\n5\n\n$6,928,781, less the total amount of grants previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2030;\n\n6\n\n$11,147,397, less the total amount of grants previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2031;\n\n7\n\n$15,084,768, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2032;\n\n8\n\n$19,253,760, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2033;\n\n9\n\n$22,699,410, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2034;\n\n10\n\n$26,145,060, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2035;\n\n11\n\n$29,590,710, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2036;\n\n12\n\n$33,036,360, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2037;\n\n13\n\n$36,482,010, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2038;\n\n14\n\n$39,927,660, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2039;\n\n15\n\n$43,373,310, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2040;\n\n16\n\n$46,818,960, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2041;\n\n17\n\n$50,264,610, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2042;\n\n18\n\n$53,710,260, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2043;\n\n19\n\n$57,155,910, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2044; and\n\n20\n\n$60,597,000, less the total amount of grants previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2045.\n\t\t\t\tIn accordance with the memorandum of understanding, actual grant payment amounts and fiscal years may differ from the schedule in this subsection and may be extended beyond the fiscal year beginning July 1, 2045, but in no event shall the aggregate amount of grant payments across all fiscal years exceed $60,597,000. In addition, in no event shall grants be paid from the Fund for more than 20 consecutive years. Any grants not earned by the end of a 20-year payment period shall be forfeited.\n\nE\n\nA qualified company applying for a grant installment under this section shall provide verifiable documentation satisfactory to the Secretary evidencing (i) the aggregate number of new full-time jobs created and maintained as of the last day of the calendar year preceding the application and (ii) the amount of capital investment made in the calendar year preceding the application. The application and evidence shall be filed with the Secretary in person, by mail, or as otherwise agreed upon in the memorandum of understanding no later than April 1 each year reflecting performance through the last day of the prior calendar year. Failure to meet the filing deadline shall result in a deferral of any scheduled grant installment payment pursuant to subsection D. For such filings made by mail, the postmark cancellation shall govern for purposes of the date of the filing determination.\n\nF\n\nWithin 60 days of receiving an application and satisfactory evidence pursuant to subsection E, the Secretary shall certify to the Comptroller and the qualified company the amount of grants to which such qualified company is entitled for payment. Payment of such grants shall be made by check issued by the State Treasurer on warrant of the Comptroller in the Commonwealth&#8217;s fiscal year following the submission of an application. The Comptroller shall not draw any warrant to issue checks for grants without a specific appropriation for the same.\n\nG\n\nAs a condition of receipt of grants under this section, a qualified company shall make available to the Secretary for inspection, upon request, all documents that are relevant or applicable to determining whether the qualified company has met the requirements for receipt of a grant pursuant to this section and subject to the memorandum of understanding. Such term shall include (i) the purchase or lease of furniture, fixtures, business personal property, machinery, and tools, including under an operating lease, and (ii) expected building construction and up-fit by or on behalf of a <span class=\"dictionary\">qualified company<\/span>.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">Eligible locality<\/span>&#8221; means Pittsylvania County.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">Facility<\/span>&#8221; means the building, group of buildings, or corporate campus, including any related machinery and tools, furniture, fixtures, and business personal property, that is located at or near a <span class=\"dictionary\">qualified company<\/span>&#8217;s operations in an <span class=\"dictionary\">eligible locality<\/span> and is owned, leased, licensed, occupied, or otherwise operated by a <span class=\"dictionary\">qualified company<\/span>.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">Fund<\/span>&#8221; means the Lithium-Ion <span class=\"dictionary\">Battery<\/span> Separator Manufacturing Grant <span class=\"dictionary\">Fund<\/span>.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">Grants<\/span>&#8221; means the grant payments from the <span class=\"dictionary\">Fund<\/span> that are awarded to a <span class=\"dictionary\">qualified company<\/span> in an aggregate amount not to exceed $60,597,000. The proceeds of any <span class=\"dictionary\">grants<\/span> may be used by the <span class=\"dictionary\">qualified company<\/span> for costs of construction and development of the <span class=\"dictionary\">facility<\/span>, or any other lawful purpose.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">Memorandum of understanding<\/span>&#8221; means a performance agreement or related document to be entered into by a <span class=\"dictionary\">qualified company<\/span>, the Commonwealth, and <span class=\"dictionary\">VEDP<\/span> that sets forth the requirements for <span class=\"dictionary\">capital investment<\/span> and the creation of <span class=\"dictionary\">new full-time jobs<\/span> by a <span class=\"dictionary\">qualified company<\/span> to be eligible for <span class=\"dictionary\">grants<\/span> from the <span class=\"dictionary\">Fund<\/span>.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">New full-time job<\/span>&#8221; means a job position for an employee of a <span class=\"dictionary\">qualified company<\/span> (i) that is principally located at a <span class=\"dictionary\">facility<\/span>; (ii) for which the average annual wage is at least $45,896, subject to an escalation factor for each year as set forth in the <span class=\"dictionary\">memorandum of understanding<\/span>; (iii) for which the <span class=\"dictionary\">qualified company<\/span> provides standard fringe benefits; and (iv) that requires a minimum of either (a) 35 hours of an employee&#8217;s time per week for the entire <span class=\"dictionary\">normal year<\/span> of the <span class=\"dictionary\">qualified company<\/span>&#8217;s operations, which &#8220;<span class=\"dictionary\">normal year<\/span>&#8221; shall consist of at least 48 weeks, or (b) 1,680 hours per year. Seasonal or temporary positions and positions with construction contractors, vendors, suppliers, and similar multiplier or spin-off jobs shall not qualify as <span class=\"dictionary\">new full-time jobs<\/span>. The Commonwealth may assess compliance with the <span class=\"dictionary\">new full-time job<\/span> requirements for a <span class=\"dictionary\">qualified company<\/span> by reference to the new payroll generated by a <span class=\"dictionary\">qualified company<\/span> if provided for in the <span class=\"dictionary\">memorandum of understanding<\/span>.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">Qualified company<\/span>&#8221; means a company, including its affiliates, that engages in the manufacture of lithium-ion <span class=\"dictionary\">battery<\/span> separators and that on and after July 1, 2024, but before July 1, 2045, is expected to (i) make a <span class=\"dictionary\">capital investment<\/span> of at least $1.3506 billion and (ii) create and maintain at least 2,015 <span class=\"dictionary\">new full-time jobs<\/span>.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">Secretary<\/span>&#8221; means the <span class=\"dictionary\">Secretary<\/span> of Commerce and Trade or his designee.<br \/><br \/>\t\t\t&#8220;<span class=\"dictionary\">VEDP<\/span>&#8221; means the Virginia Economic Development Partnership Authority. <a id=\"paragraph-1390863\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#A\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B\"><p><span class=\"prefix-number\">B.<\/span> There is hereby created in the state treasury a special nonreverting <span class=\"dictionary\">fund<\/span> to be known as the Lithium-Ion <span class=\"dictionary\">Battery<\/span> Separator Manufacturing Grant <span class=\"dictionary\">Fund<\/span>. The <span class=\"dictionary\">Fund<\/span> shall be established on the books of the Comptroller. All <span class=\"dictionary\">funds<\/span> appropriated to the <span class=\"dictionary\">Fund<\/span> shall be paid into the state treasury and credited to the <span class=\"dictionary\">Fund<\/span>. Interest earned on moneys in the <span class=\"dictionary\">Fund<\/span> shall remain in the <span class=\"dictionary\">Fund<\/span> and be credited to it. Any moneys remaining in the <span class=\"dictionary\">Fund<\/span>, including interest thereon, at the end of each fiscal year shall not revert to the general <span class=\"dictionary\">fund<\/span> but shall remain in the <span class=\"dictionary\">Fund<\/span>. Moneys in the <span class=\"dictionary\">Fund<\/span> shall be used to pay <span class=\"dictionary\">grants<\/span> pursuant to this chapter. Expenditures and disbursements from the <span class=\"dictionary\">Fund<\/span> shall be made by the State Treasurer on warrants issued by the Comptroller pursuant to subsection F. <a id=\"paragraph-1390864\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#B\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"C\"><p><span class=\"prefix-number\">C.<\/span> A <span class=\"dictionary\">qualified company<\/span> shall be eligible to receive <span class=\"dictionary\">grants<\/span> each fiscal year expected to begin with the Commonwealth&#8217;s fiscal year starting on July 1, 2026, and ending with the Commonwealth&#8217;s fiscal year starting on July 1, 2045, unless such timeframe is extended in accordance with a <span class=\"dictionary\">memorandum of understanding<\/span>. <span class=\"dictionary\">Grants<\/span> awarded pursuant to this section shall be subject to appropriation by the General Assembly during each such fiscal year and are contingent on a <span class=\"dictionary\">qualified company<\/span> meeting the requirements set forth in this chapter and in the <span class=\"dictionary\">memorandum of understanding<\/span> for the number of <span class=\"dictionary\">new full-time jobs<\/span> created and maintained and the amount of <span class=\"dictionary\">capital investment<\/span> made. <a id=\"paragraph-1390865\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#C\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D\"><p><span class=\"prefix-number\">D.<\/span> The aggregate amount of <span class=\"dictionary\">grants<\/span> payable under this section shall not exceed $60,597,000. <span class=\"dictionary\">Grants<\/span> are anticipated to be paid in 20 annual fiscal year installments, calculated in accordance with a <span class=\"dictionary\">memorandum of understanding<\/span>, as follows: <a id=\"paragraph-1390866\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> $691,545, for the Commonwealth&#8217;s fiscal year beginning July 1, 2026; <a id=\"paragraph-1390867\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> $1,558,800, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2027; <a id=\"paragraph-1390868\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D3\" class=\"indent-1\"><p><span class=\"prefix-number\">3.<\/span> $3,423,813, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2028; <a id=\"paragraph-1390869\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D4\" class=\"indent-1\"><p><span class=\"prefix-number\">4.<\/span> $4,553,857, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2029; <a id=\"paragraph-1390870\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D4\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D5\" class=\"indent-1\"><p><span class=\"prefix-number\">5.<\/span> $6,928,781, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2030; <a id=\"paragraph-1390871\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D5\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D6\" class=\"indent-1\"><p><span class=\"prefix-number\">6.<\/span> $11,147,397, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1, 2031; <a id=\"paragraph-1390872\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D6\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D7\" class=\"indent-1\"><p><span class=\"prefix-number\">7.<\/span> $15,084,768, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2032; <a id=\"paragraph-1390873\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D7\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D8\" class=\"indent-1\"><p><span class=\"prefix-number\">8.<\/span> $19,253,760, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2033; <a id=\"paragraph-1390874\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D8\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D9\" class=\"indent-1\"><p><span class=\"prefix-number\">9.<\/span> $22,699,410, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2034; <a id=\"paragraph-1390875\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D9\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D10\" class=\"indent-1\"><p><span class=\"prefix-number\">10.<\/span> $26,145,060, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2035; <a id=\"paragraph-1390876\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D10\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D11\" class=\"indent-1\"><p><span class=\"prefix-number\">11.<\/span> $29,590,710, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2036; <a id=\"paragraph-1390877\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D11\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D12\" class=\"indent-1\"><p><span class=\"prefix-number\">12.<\/span> $33,036,360, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2037; <a id=\"paragraph-1390884\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D18\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D19\" class=\"indent-1\"><p><span class=\"prefix-number\">19.<\/span> $57,155,910, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2044; and <a id=\"paragraph-1390885\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D19\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D20\" class=\"indent-1\"><p><span class=\"prefix-number\">20.<\/span> $60,597,000, less the total amount of <span class=\"dictionary\">grants<\/span> previously awarded pursuant to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1, 2045.\n\t\t\t\tIn accordance with the <span class=\"dictionary\">memorandum of understanding<\/span>, actual grant payment amounts and fiscal years may differ from the schedule in this subsection and may be extended beyond the fiscal year beginning July 1, 2045, but in no event shall the aggregate amount of grant payments across all fiscal years exceed $60,597,000. In addition, in no event shall <span class=\"dictionary\">grants<\/span> be paid from the <span class=\"dictionary\">Fund<\/span> for more than 20 consecutive years. Any <span class=\"dictionary\">grants<\/span> not earned by the end of a 20-year payment period shall be forfeited. <a id=\"paragraph-1390886\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#D20\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"E\"><p><span class=\"prefix-number\">E.<\/span> A <span class=\"dictionary\">qualified company<\/span> applying for a grant installment under this section shall provide verifiable documentation satisfactory to the <span class=\"dictionary\">Secretary<\/span> evidencing (i) the aggregate number of <span class=\"dictionary\">new full-time jobs<\/span> created and maintained as of the last day of the calendar year preceding the application and (ii) the amount of <span class=\"dictionary\">capital investment<\/span> made in the calendar year preceding the application. The application and <span class=\"dictionary\">evidence<\/span> shall be filed with the <span class=\"dictionary\">Secretary<\/span> in person, by mail, or as otherwise agreed upon in the <span class=\"dictionary\">memorandum of understanding<\/span> no later than April 1 each year reflecting performance through the last day of the prior calendar year. Failure to meet the filing deadline shall result in a deferral of any scheduled grant installment payment pursuant to subsection D. For such filings made by mail, the postmark cancellation shall govern for purposes of the date of the filing determination. <a id=\"paragraph-1390887\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#E\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"F\"><p><span class=\"prefix-number\">F.<\/span> Within 60 days of receiving an application and satisfactory <span class=\"dictionary\">evidence<\/span> pursuant to subsection E, the <span class=\"dictionary\">Secretary<\/span> shall certify to the Comptroller and the <span class=\"dictionary\">qualified company<\/span> the amount of <span class=\"dictionary\">grants<\/span> to which such <span class=\"dictionary\">qualified company<\/span> is entitled for payment. Payment of such <span class=\"dictionary\">grants<\/span> shall be made by check issued by the State Treasurer on warrant of the Comptroller in the Commonwealth&#8217;s fiscal year following the submission of an application. The Comptroller shall not draw any warrant to <span class=\"dictionary\">issue<\/span> checks for <span class=\"dictionary\">grants<\/span> without a specific appropriation for the same. <a id=\"paragraph-1390888\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#F\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"G\"><p><span class=\"prefix-number\">G.<\/span> As a condition of receipt of <span class=\"dictionary\">grants<\/span> under this section, a <span class=\"dictionary\">qualified company<\/span> shall make available to the <span class=\"dictionary\">Secretary<\/span> for inspection, upon request, all documents that are relevant or applicable to determining whether the <span class=\"dictionary\">qualified company<\/span> has met the requirements for receipt of a grant pursuant to this section and subject to the <span class=\"dictionary\">memorandum of understanding<\/span>. Any such documents appropriately identified by a <span class=\"dictionary\">qualified company<\/span> shall be considered confidential and proprietary. <a id=\"paragraph-1390889\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/59.1-284.45\/#G\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nLITHIUM-ION BATTERY SEPARATOR MANUFACTURING GRANT FUND (\u00a7 59.1-284.45)\n\nA. As used in this chapter, unless the context requires a different meaning:\n\t\t\t&#8220;Capital investment&#8221; means an expenditure by or on behalf of a\nqualified company on or after July 1, 2024, on or for real property, taxable\ntangible personal property, or both, at a facility in an eligible locality that\nis properly chargeable to a capital account or would be so chargeable with a\nproper election under Virginia law. Such term shall include (i) the purchase or\nlease of furniture, fixtures, business personal property, machinery, and tools,\nincluding under an operating lease, and (ii) expected building construction and\nup-fit by or on behalf of a qualified company.\t\t\t&#8220;Eligible locality&#8221;\nmeans Pittsylvania County.\t\t\t&#8220;Facility&#8221; means the building, group of\nbuildings, or corporate campus, including any related machinery and tools,\nfurniture, fixtures, and business personal property, that is located at or near\na qualified company&#8217;s operations in an eligible locality and is owned,\nleased, licensed, occupied, or otherwise operated by a qualified\ncompany.\t\t\t&#8220;Fund&#8221; means the Lithium-Ion Battery Separator\nManufacturing Grant Fund.\t\t\t&#8220;Grants&#8221; means the grant payments from\nthe Fund that are awarded to a qualified company in an aggregate amount not to\nexceed $60,597,000. The proceeds of any grants may be used by the qualified\ncompany for costs of construction and development of the facility, or any other\nlawful purpose.\t\t\t&#8220;Memorandum of understanding&#8221; means a performance\nagreement or related document to be entered into by a qualified company, the\nCommonwealth, and VEDP that sets forth the requirements for capital investment\nand the creation of new full-time jobs by a qualified company to be eligible for\ngrants from the Fund.\t\t\t&#8220;New full-time job&#8221; means a job position for\nan employee of a qualified company (i) that is principally located at a\nfacility; (ii) for which the average annual wage is at least $45,896, subject to\nan escalation factor for each year as set forth in the memorandum of\nunderstanding; (iii) for which the qualified company provides standard fringe\nbenefits; and (iv) that requires a minimum of either (a) 35 hours of an\nemployee&#8217;s time per week for the entire normal year of the qualified\ncompany&#8217;s operations, which &#8220;normal year&#8221; shall consist of at\nleast 48 weeks, or (b) 1,680 hours per year. Seasonal or temporary positions and\npositions with construction contractors, vendors, suppliers, and similar\nmultiplier or spin-off jobs shall not qualify as new full-time jobs. The\nCommonwealth may assess compliance with the new full-time job requirements for a\nqualified company by reference to the new payroll generated by a qualified\ncompany if provided for in the memorandum of understanding.\t\t\t&#8220;Qualified\ncompany&#8221; means a company, including its affiliates, that engages in the\nmanufacture of lithium-ion battery separators and that on and after July 1,\n2024, but before July 1, 2045, is expected to (i) make a capital investment of\nat least $1.3506 billion and (ii) create and maintain at least 2,015 new\nfull-time jobs.\t\t\t&#8220;Secretary&#8221; means the Secretary of Commerce and\nTrade or his designee.\t\t\t&#8220;VEDP&#8221; means the Virginia Economic\nDevelopment Partnership Authority.\n\nB. There is hereby created in the state treasury a special nonreverting fund to\nbe known as the Lithium-Ion Battery Separator Manufacturing Grant Fund. The Fund\nshall be established on the books of the Comptroller. All funds appropriated to\nthe Fund shall be paid into the state treasury and credited to the Fund.\nInterest earned on moneys in the Fund shall remain in the Fund and be credited\nto it. Any moneys remaining in the Fund, including interest thereon, at the end\nof each fiscal year shall not revert to the general fund but shall remain in the\nFund. Moneys in the Fund shall be used to pay grants pursuant to this chapter.\nExpenditures and disbursements from the Fund shall be made by the State\nTreasurer on warrants issued by the Comptroller pursuant to subsection F.\n\nC. A qualified company shall be eligible to receive grants each fiscal year\nexpected to begin with the Commonwealth&#8217;s fiscal year starting on July 1,\n2026, and ending with the Commonwealth&#8217;s fiscal year starting on July 1,\n2045, unless such timeframe is extended in accordance with a memorandum of\nunderstanding. Grants awarded pursuant to this section shall be subject to\nappropriation by the General Assembly during each such fiscal year and are\ncontingent on a qualified company meeting the requirements set forth in this\nchapter and in the memorandum of understanding for the number of new full-time\njobs created and maintained and the amount of capital investment made.\n\nD. The aggregate amount of grants payable under this section shall not exceed\n$60,597,000. Grants are anticipated to be paid in 20 annual fiscal year\ninstallments, calculated in accordance with a memorandum of understanding, as\nfollows:\n\n   1. $691,545, for the Commonwealth&#8217;s fiscal year beginning July 1, 2026;\n\n   2. $1,558,800, less the total amount of grants previously awarded pursuant to\n   this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2027;\n\n   3. $3,423,813, less the total amount of grants previously awarded pursuant to\n   this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2028;\n\n   4. $4,553,857, less the total amount of grants previously awarded pursuant to\n   this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2029;\n\n   5. $6,928,781, less the total amount of grants previously awarded pursuant to\n   this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2030;\n\n   6. $11,147,397, less the total amount of grants previously awarded pursuant to\n   this subsection, for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2031;\n\n   7. $15,084,768, less the total amount of grants previously awarded pursuant to\n   this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2032;\n\n   8. $19,253,760, less the total amount of grants previously awarded pursuant to\n   this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2033;\n\n   9. $22,699,410, less the total amount of grants previously awarded pursuant to\n   this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2034;\n\n   10. $26,145,060, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2035;\n\n   11. $29,590,710, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2036;\n\n   12. $33,036,360, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2037;\n\n   13. $36,482,010, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2038;\n\n   14. $39,927,660, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2039;\n\n   15. $43,373,310, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2040;\n\n   16. $46,818,960, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2041;\n\n   17. $50,264,610, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2042;\n\n   18. $53,710,260, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2043;\n\n   19. $57,155,910, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2044; and\n\n   20. $60,597,000, less the total amount of grants previously awarded pursuant\n   to this subsection for the Commonwealth&#8217;s fiscal year beginning July 1,\n   2045.\n   \t\t\t\tIn accordance with the memorandum of understanding, actual grant payment\n   amounts and fiscal years may differ from the schedule in this subsection and\n   may be extended beyond the fiscal year beginning July 1, 2045, but in no event\n   shall the aggregate amount of grant payments across all fiscal years exceed\n   $60,597,000. In addition, in no event shall grants be paid from the Fund for\n   more than 20 consecutive years. Any grants not earned by the end of a 20-year\n   payment period shall be forfeited.\n\nE. A qualified company applying for a grant installment under this section shall\nprovide verifiable documentation satisfactory to the Secretary evidencing (i)\nthe aggregate number of new full-time jobs created and maintained as of the last\nday of the calendar year preceding the application and (ii) the amount of\ncapital investment made in the calendar year preceding the application. The\napplication and evidence shall be filed with the Secretary in person, by mail,\nor as otherwise agreed upon in the memorandum of understanding no later than\nApril 1 each year reflecting performance through the last day of the prior\ncalendar year. Failure to meet the filing deadline shall result in a deferral of\nany scheduled grant installment payment pursuant to subsection D. For such\nfilings made by mail, the postmark cancellation shall govern for purposes of the\ndate of the filing determination.\n\nF. Within 60 days of receiving an application and satisfactory evidence pursuant\nto subsection E, the Secretary shall certify to the Comptroller and the\nqualified company the amount of grants to which such qualified company is\nentitled for payment. Payment of such grants shall be made by check issued by\nthe State Treasurer on warrant of the Comptroller in the Commonwealth&#8217;s\nfiscal year following the submission of an application. The Comptroller shall\nnot draw any warrant to issue checks for grants without a specific appropriation\nfor the same.\n\nG. As a condition of receipt of grants under this section, a qualified company\nshall make available to the Secretary for inspection, upon request, all\ndocuments that are relevant or applicable to determining whether the qualified\ncompany has met the requirements for receipt of a grant pursuant to this section\nand subject to the memorandum of understanding.
